Terms of Service
These terms are a contract between the business you represent ("you") and RIYO Ventures Limited, registration no. PVT-7LUQL29, of Riyo Place, Kirongothi Street, Eastleigh, P.O. Box 71909 – 00622, Nairobi, Kenya ("we", "TickBalance"). By creating a workspace or using app.tickbalance.com you accept them on behalf of that business.
1. The service
TickBalance is a wallet-management platform for businesses: deposits, withdrawals, transfers, currency exchange, treasury views and customer messaging on WhatsApp. We may change or improve features over time and will give reasonable notice of any change that removes functionality you rely on.
2. Eligibility and accounts
- You must be a registered business, and the person accepting these terms must be authorised to bind it.
- You are responsible for everyone you invite into your workspace and for keeping credentials confidential. Tell us immediately at privacy@tickbalance.com if you suspect unauthorised access.
- We may ask for identity, ownership or business documents to satisfy our legal and payment-partner obligations, and may suspend the service until they are provided.
3. Money movement
- Instructions you submit in the app are final once executed. Check counterparties, amounts and currencies before approving.
- Currency-exchange amounts are calculated from the rate book your business has published at the moment you confirm; publishing a new rate book replaces the previous one immediately.
- We will tell you about any fees before they apply.
- Settlement times depend on the banks, mobile-money operators and payment processors involved; we are not responsible for delays outside our control.
- You must use TickBalance only for lawful purposes and comply with anti-money-laundering, sanctions and tax laws that apply to you.
4. WhatsApp messaging
- You connect and use your own WhatsApp Business Account. You remain responsible for it, including compliance with the WhatsApp Business Messaging Policy and Meta's terms.
- You may message only people who have opted in to hear from you, must honour opt-outs promptly, and must not send content that is unlawful, misleading or prohibited by Meta.
- Conversation charges set by Meta are billed to the payment method attached to your WhatsApp Business Account, or re-billed to you by TickBalance where we have agreed to share our line of credit.
- Meta may restrict or suspend a WhatsApp Business Account for policy violations; we cannot override those decisions.
5. Data
How we handle personal data is set out in our Privacy Policy. For your customers' data you are the controller and we are your processor; we act on your instructions, keep the data confidential, and delete it when you close your workspace (subject to legal retention periods).
6. Acceptable use
You must not attempt to gain unauthorised access to TickBalance or other users' data, interfere with the service, reverse-engineer it, use it to send spam or fraudulent communications, or resell it without our written agreement.
7. Intellectual property
TickBalance, its software, design and trademarks belong to RIYO Ventures Limited. You keep ownership of your data and grant us the licence needed to provide the service to you.
8. Suspension and termination
You can close your workspace at any time by emailing us from the owner's registered email address. We may suspend or terminate access for breach of these terms, legal requirements, security risk or non-payment, giving notice where the circumstances allow. On termination we settle outstanding balances in accordance with applicable law and delete your data as described in the Privacy Policy.
9. Liability
To the extent permitted by law: we provide TickBalance with reasonable skill and care but do not guarantee uninterrupted or error-free operation; we are not liable for indirect or consequential loss, loss of profit or loss of data; and our total liability to you in any 12-month period is limited to the fees you paid us in that period. Nothing in these terms excludes liability for fraud or for anything that cannot be excluded by law.
10. Governing law
These terms are governed by the laws of Kenya. Disputes are subject to the exclusive jurisdiction of the courts of Kenya, after a good-faith attempt to resolve them by discussion.
11. Changes
We may update these terms. Material changes will be notified by email to workspace owners at least 14 days before they take effect. Continued use after that date is acceptance.
